Terms of use

1. Agreement to these terms

These terms are a binding agreement between you and Janover Capital LLC, with its affiliates, members, managers, officers, employees and agents ("Janover Capital", "we", "us"), and govern your use of seniorhousingconstruction.loan (Absorption) and the content, data, tools, forms and services on it (the "Site"). By using the Site you accept these terms and our Privacy policy, which is part of them. If you don't agree, don't use the Site. If you use it for an entity, you confirm you can bind that entity, and "you" includes it.

2. Who we are, and what we are not

Janover Capital LLC is a commercial mortgage capital markets advisory firm. We act as an intermediary and broker that arranges commercial-purpose financing for commercial and multifamily real estate. We are not a bank, direct lender, deposit-taking institution, mortgage servicer or fiduciary. We don't make credit decisions, fund loans or guarantee that any financing will be offered or closed on any terms. We don't arrange consumer mortgages or loans on 1-4 unit residential or owner-occupied homes. Any engagement of Janover Capital for advisory or brokerage services happens only under a separate signed written agreement; using the Site or our reading what you send does not create one.

Absorption is independent. It is not affiliated with, endorsed by or acting for HUD, FHA, CMS, the Federal Reserve, Fannie Mae, Freddie Mac, the U.S. Treasury or any other government agency. Janover Capital LLC separately holds insurance licenses in Florida (#L136031) and Texas (#3490226); insurance is not offered through this Site and is offered only through janoverinsurance.com.

3. No offer, no commitment, no advice

Everything on the Site is general information. Nothing on it is, or may be relied on as: (a) an offer to lend or an offer, solicitation or commitment to arrange financing; (b) a loan approval, prequalification, rate quote or lock; (c) legal, tax, accounting, investment, financial, valuation or other professional advice; or (d) a recommendation of any transaction. Rates, terms, program limits and figures shown anywhere on the Site are indicative and dated, can change without notice, and are subject to market conditions, underwriting, third-party reports and lender and HUD approval. Consult your own advisors before any financing decision.

4. Eligibility and permitted use

The Site is for people at least 18 years old, in the United States, researching or seeking commercial-purpose financing or related information. Use it only lawfully and under these terms.

5. Data, calculators and tools

State and county pages combine Census Bureau population estimates and projections, CMS Nursing Home Provider Information, the CDC/NCHS National Post-acute and Long-term Care Study, HUD's healthcare endorsement database and Census construction spending, each shown with its date. Certificate of need summaries come from NCSL's state table and state sources and can change; confirm with the state agency before relying on them. The development calculator's HUD lines cite HUD Handbook 4232.1 by section; every other input is your assumption. Its results are not a market study, appraisal or loan offer.

Data may be delayed, incomplete or wrong and is provided "as is". The tools give simplified, hypothetical results from the inputs you enter and stated assumptions; they are not underwriting, a sizing commitment or an indication of terms available to you. We may change, suspend or remove any data or tool at any time.

Data. Source data from federal agencies (Census Bureau, CMS, CDC, HUD) is in the public domain. Certificate of need status is our summary of NCSL's table and state sources, not a copy of them. Our compilation and text are covered by section 10.

6. Educational content

Guides and other articles are general, may not reflect the latest market, program or regulatory changes, and may not fit your situation. Government program rules change over time; check the current handbook, notice or rule. Nothing in them creates an advisory or client relationship.

7. Information you submit

When you send information through the Site, you confirm it is accurate and complete in all material respects, that you may provide it, and that doing so breaks no law or agreement. You allow us to use and share it as our Privacy policy describes, including with prospective lenders and transaction parties when you ask us to arrange financing. Until you and Janover Capital sign an engagement agreement with confidentiality terms, what you send is covered only by our Privacy policy. Don't send health information, resident information, Social Security numbers or account credentials.

8. Consent to be contacted

By sending your contact details through the Site, you agree to receive calls, texts and emails from or for Janover Capital at the numbers and addresses you give, including calls and texts placed with automated technology or prerecorded messages, about your request and our services. Consent is not a condition of any service. Message and data rates may apply, and message frequency varies. Opt out at any time by replying STOP to a text, using the unsubscribe link in an email, or contacting us at (561) 559-4111 or hello@seniorhousingconstruction.loan. If you give a phone number that isn't yours, you confirm you have the owner's permission.

9. Electronic communications

You agree to receive communications from us electronically, and that agreements, notices and disclosures we send electronically satisfy any requirement that they be in writing.

10. Intellectual property

The Site and its text, design, graphics, logos, data compilations and software belong to Janover Capital LLC or its licensors and are protected by copyright, trademark and other laws, except public-domain government data as described in section 5. "Janover" and "Janover Capital" may not be used without our written consent. You may view the Site for your personal or internal business use, link to any page, and quote short passages with a link back. No other right is granted.

11. Prohibited conduct

You agree not to: (a) scrape or systematically extract content or data from the Site except as our robots.txt allow; (b) interfere with or disrupt the Site; (c) try to gain unauthorized access to any system or data; (d) submit false, misleading or fraudulent information; (e) use the Site to break any law or third-party right; (f) frame, mirror or deep-link to the Site in a misleading way; or (g) reverse engineer the Site's software.

12. Third-party websites

The Site links to government agencies and other sites we don't control. They have their own terms and policies. A link is not an endorsement, and we aren't responsible for third-party content or services.

13. Disclaimer of warranties

TO THE FULLEST EXTENT THE LAW ALLOWS, THE SITE AND ALL CONTENT, DATA, TOOLS AND SERVICES ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT ANY FINANCING WILL BE AVAILABLE OR ARRANGED, OR THAT ANY TERMS WILL BE ACHIEVED.

14. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS: (A) JANOVER CAPITAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, OPPORTUNITIES OR DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE SITE OR THESE TERMS, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL LIABILITY ARISING FROM THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DON'T ALLOW CERTAIN LIMITS, SO SOME OF THIS MAY NOT APPLY TO YOU; THEN OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT THE LAW ALLOWS. THESE LIMITS DON'T APPLY TO LIABILITY THAT CAN'T BE LIMITED BY LAW.

15. Indemnification

You agree to defend, indemnify and hold harmless Janover Capital LLC and its affiliates, and their members, managers, officers, employees and agents, from any claims, liabilities, damages, judgments, losses, costs and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site; (b) your breach of these terms or any law; (c) information you submit, including its inaccuracy; or (d) your violation of any third-party right.

16. Disputes: arbitration, class waiver, jury waiver

Please read this section carefully. It affects your legal rights.

Any dispute arising from or relating to the Site or these terms that can't be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, before one arbitrator, seated in Palm Beach County, Florida. Judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court for misuse of intellectual property or unauthorized access to the Site.

Class action waiver. Disputes must be brought individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or preside over one.

Jury trial waiver. If a dispute goes to court rather than arbitration, each party knowingly and voluntarily waives a jury trial.

Time limit. To the fullest extent the law allows, a claim arising from the Site or these terms must be started within one year after it accrues, or it is barred.

17. Governing law and venue

These terms and any dispute about them or the Site are governed by the laws of the State of Florida and applicable federal law (including the Federal Arbitration Act for section 16), without regard to conflict-of-law rules. Subject to section 16, the exclusive venue for any court proceeding is the state or federal courts in Palm Beach County, Florida, and you consent to their jurisdiction.

18. Changes; termination

We may change these terms by posting a new version with a new effective date; using the Site afterwards means you accept it. We may suspend or end access to the Site or any feature at any time without notice or liability.

19. General

These terms and the Privacy policy are the whole agreement between you and Janover Capital about the Site. If a provision is unenforceable, it is changed only as much as needed and the rest stands. Not enforcing a provision is not a waiver. You may not assign these terms; we may. Headings are for convenience. Sections 3, 7, 10 and 13 to 17 survive termination.
